DOUXLE System Terms v2.4
Legal Disclaimer & Loyalty Program Terms

NOTICE REGARDING REWARDS & PERKS: All loyalty points, promotional bonus pools, reward weights, and gift balances on DOUXLE | Digital Systems & Software Licenses are discretionary promotional perks provided as part of a customer loyalty and rewards program.

They do NOT represent financial securities, banking deposits, investment returns, or guaranteed profits. DOUXLE | Digital Systems & Software Licenses operates strictly as an e-commerce digital marketplace, developer distribution hub, and partner platform. We do not offer financial advice, investment management, banking, or trading services.

1. Digital Marketplace & Platform Role

DOUXLE | Digital Systems & Software Licenses operates an online digital distribution marketplace facilitating the commercial discovery, licensing, and delivery of software applications and digital products.

  • Platform Operator: We provide marketplace infrastructure, catalog hosting, checkout facilities, DRM verification frameworks, and automated fulfillment pipelines.
  • Independent Developers & Vendors: Third-party software creators and vendors publish, maintain, and support their respective software applications, documentation, and releases.
  • Customers & End Users: Individuals or business entities acquiring software licenses and downloads for lawful use in accordance with applicable terms.

DOUXLE | Digital Systems & Software Licenses acts as a marketplace distributor and does not author, develop, or own every third-party software product offered in the catalog.

2. Digital Products & Software Delivery

The platform catalog encompasses digital software applications, cryptographic license keys, and downloadable archives (including release packages and executable assets).

  • Automated Delivery: Upon verified payment settlement, software licenses and download access are provisioned automatically within the customer dashboard and sent via confirmation receipt.
  • Product-Specific Terms: Individual products may be accompanied by specific End User License Agreements (EULAs), version compatibility guides, or developer terms that supplement these general Terms.
  • Customer Compatibility Duty: Customers are responsible for reviewing operating system requirements, hardware specifications, and network prerequisites prior to completing any order.

Fulfilled digital downloads remain accessible through active customer accounts in accordance with product availability and licensing lifecycle rules.

3. Software Licensing & DRM Controls

Digital products offered on the platform may incorporate digital rights management (DRM) and license governance technologies to protect intellectual property and ensure authorized usage.

  • License Tokens: Authentic cryptographic license keys and access tokens are generated upon order completion and validated during software execution.
  • Activation Limits & Binding: Licenses enforce defined node activation caps and may bind to specific host domains, hardware identifiers (HWID), device signatures, or verified account credentials.
  • Multi-Seat & Validity: Products may support single-user, multi-seat, or team tiers with defined validity periods, perpetual rights, or evaluation expirations.
  • Anti-Abuse & Revocation: Unauthorized redistribution, key sharing, activation spoofing, or policy breaches result in immediate license revocation and activation invalidation.

Technical protection measures operate to prevent unauthorized execution and verify legitimate entitlement.

4. Developer & Vendor Ecosystem

Registered developers and vendors may utilize the Developer Portal to publish and distribute software applications through the DOUXLE | Digital Systems & Software Licenses marketplace under our standard commercial distribution agreement:

  • Publishing & Releases: Developers manage product listings, pricing, documentation, downloadable packages, and automated Git-backed release deployments.
  • Commercial Capacity (Principal vs. Agent): For third-party developer software, the platform acts in the capacity of an intermediary marketplace agent, recognizing only its retained platform commission as net revenue. For first-party proprietary assets and enterprise subscriptions, the platform operates as principal.
  • DRM Configuration: Developers configure activation limits, evaluation modes, hardware binding (HWID), and seat caps appropriate to their software products.
  • Commissions & Net Earnings: Product sales proceeds net of applicable platform commission fees accrue to developer accounts, with withdrawal disbursements processed through approved payout channels.
  • Refund Clawbacks & Recovery Subledger: If a customer refund, dispute, or chargeback occurs on a developer's software, the developer's net earnings portion from that transaction is clawed back. Where available developer balance is insufficient, a formal Developer Recovery Receivable is recorded in the developer recoveries subledger.
  • Automated Earnings Offset & Settlement: Outstanding recovery balances are automatically satisfied and offset against future net sales earnings across any published software products. Developers may also settle balances via direct payment. Payout requests are restricted while an unrecovered balance remains outstanding.
  • Governance & Warranty: Developers warrant that submitted software is original, free from malicious code, compliant with platform antivirus standards, and truthfully described.

The platform reserves the right to moderate, unlist, or suspend developer accounts that fail governance, security, or financial recovery obligations.

5. Enterprise & Organization Services

Commercial entities, teams, and enterprises may access organization-grade software licensing and governance features through the dedicated Company Portal:

  • Company Accounts: Verified organizational profiles allow centralized procurement and administrative oversight of software licenses across corporate workgroups.
  • Performance Obligations & Service Periods: Subscriptions constitute continuous over-time access to software systems, updates, and maintenance across contracted calendar billing cycles (monthly, quarterly, or annual).
  • Advance Consideration & Contract Liabilities: Advance subscription payments represent unearned contract liabilities that are recognized as earned platform revenue proportionally over the active service delivery period.
  • Global Seat Pools & Quotas: Administrators manage pooled multi-seat licenses, fleet deployments, and seat assignments within agreed contractual quotas.
  • Mid-Cycle Upgrades: Upgrades dynamically transfer unearned residual contract balances directly into the expanded tier without double-charging or revenue leakage.

Consolidated commercial invoicing and business licensing statements are generated for corporate recordkeeping.

6. Supported Payment Methods

All marketplace purchases are processed in supported store currencies (primarily USD) through authorized and secure payment channels, with the platform serving as the commercial Merchant of Record (MoR) for transaction execution and billing:

  • Credit & Debit Cards: Processed through PCI-compliant merchant payment gateways.
  • PayPal: Secure electronic wallet and card processing with immediate transaction verification.
  • Cryptocurrency Payments: Automated blockchain gateway processing and verified direct crypto transfers with required confirmation thresholds.
  • Bank Wire Transfer: Manual electronic funds transfer subject to verified bank reference submissions and administrative reconciliation.
  • Direct Settlement: Authorized direct settlement methods where specifically enabled for enterprise accounts.
  • Promotional & Gift Balance: Approved gift balances may be applied to eligible purchases subject to promotional guidelines.
  • Merchant of Record Authority: As Merchant of Record, the platform manages customer payment authorization, fraud screening, customer billing disputes, and sales tax calculation where applicable.

Orders are fulfilled only upon complete financial confirmation and settlement through the selected payment channel.

7. Refunds, Cancellations & Subscription Waterfalls

Due to immediate digital delivery and continuous software service provision, transactions are governed by deterministic cancellation and refund rules:

  • Digital Product Sales: Once a digital license key is revealed or software is downloaded, sales are final and non-refundable, except where required by mandatory consumer law or in the case of a verified, unresolvable technical defect reported during the guarantee window.
  • Immediate Revocation: In the event of an approved refund, chargeback, or transaction reversal, all associated software licenses, seat allocations, and device activations are immediately revoked.
  • Deferred-First Subscription Waterfall: Enterprise subscription refunds follow an authoritative deferred-first waterfall. Refunds are charged first against unearned contract liability (future service days not yet delivered), preserving earned revenue for active service delivered to date. Only extraordinary circumstances exceeding the deferred balance trigger a reversal of recognized revenue.
  • Standardized Commercial Classifications: Subscription adjustments are logged under strict commercial categories (Ordinary Cancellation, Statutory Customer Refund, Service Failure, Duplicate Payment, Fraud/Chargeback, Upgrade Reversal, or Administrative Adjustment).

Partial refunds proportionally adjust consideration without restoring invalid or revoked software entitlement.

8. Advertising & Marketing Services

Advertisers and publishers may utilize promotional advertising facilities across the marketplace to reach developers, enterprises, and software buyers:

  • Campaign Funding & Advance Deposits: Depositing funds into an advertising balance or campaign budget constitutes an advance deposit (unearned contract liability), not earned platform revenue, until promotional delivery occurs.
  • Delivery-Based Recognition: Advertising revenue is recognized strictly upon verified impressions or click interactions as performance obligations are fulfilled.
  • Content Governance: Advertisements must comply with platform content guidelines, truth-in-advertising standards, and software security requirements.
  • Unused Balances: Unspent advertising deposits remain credited to the advertiser's account and may be refunded or reallocated upon formal review.

Fraudulent, automated, or bot-generated click activity is strictly filtered and disqualified from billable delivery.

9. Customer Loyalty Rewards & Gift Balance

Customer loyalty points, promotional bonus pools, reward weights, and gift balances are voluntary promotional perks provided under the customer retention program:

  • Non-Financial Nature: Promotional perks do NOT constitute bank deposits, escrow balances, currency holdings, or investment instruments.
  • Usage & Redemption: Approved gift balances may be applied toward eligible marketplace orders or redeemed in accordance with account threshold limits.
  • Non-Transferable & Non-Cash: Reward points and gift balances cannot be transferred between unrelated accounts, assigned, or pledged as collateral, and carry no cash surrender value.
  • Refund Tender Restoration: Where gift balance was used as tender in a refunded order, the gift balance portion is restored as promotional credit, while cash tender is disbursed via the original cash payment route.

Unvested or expired promotional balances carry no cash surrender value upon account closure.

10. Tax Calculation & Statutory Compliance

Applicable indirect taxes, including Value-Added Tax (VAT), Goods and Services Tax (GST), and sales taxes, are assessed and collected in compliance with governing tax laws:

  • Jurisdictional Assessment: Tax rates and liability treatments are determined based on customer location, billing address, product classification, and applicable statutory tax rates.
  • B2B Reverse Charge: Qualified corporate entities providing verified tax registration numbers (e.g., VAT ID) may receive reverse-charge or zero-rated treatment where permitted by applicable law.
  • Invoicing: Official tax invoices detailing net consideration, applied statutory tax amounts, and registered seller identifiers are generated upon order completion.
  • Statutory Rates: We do not assert universal tax rates; calculations strictly reflect statutory requirements in effect at the time of checkout.

Customers are responsible for any local self-assessment taxes where reverse-charge mechanisms apply.

11. User Accounts & Security Obligations

Users are responsible for maintaining the integrity and confidentiality of their accounts on DOUXLE | Digital Systems & Software Licenses:

  • Accurate Information: Users must provide accurate, current, and verifiable registration, contact, and billing information.
  • Credential Confidentiality: Account holders are solely responsible for safeguarding passwords, two-factor authentication factors, and session credentials.
  • Prohibited Sharing: Sharing, selling, or transferring account credentials to unauthorized third parties is strictly prohibited.
  • Incident Reporting: Users must promptly notify platform support upon discovering any unauthorized account access, credential compromise, or security anomaly.

Users remain responsible for all transactions and activities conducted under their authenticated account credentials.

12. Acceptable Use & Prohibited Conduct

Users agree to access and utilize the platform solely for lawful purposes. The following actions are strictly prohibited:

  • Payment Abuse & Fraud: Submitting fraudulent payment details, abusing chargeback mechanisms, or tampering with financial flows.
  • DRM & Security Bypass: Circumventing, decompiling, reverse engineering, or tampering with software licensing, activation checks, or DRM controls.
  • Key Leaking & Piracy: Distributing, reselling, sharing, or mass-publishing purchased license keys or download packages outside authorized channels.
  • Malicious Software: Uploading, distributing, or transmitting viruses, trojans, ransomware, or harmful code.
  • Infrastructure Exploitation: Automated scraping, denial-of-service attacks, rate-limit bypassing, or unauthorized vulnerability testing.

Violations may result in immediate suspension, license invalidation, and legal escalation where appropriate.

13. Intellectual Property Rights

Intellectual property across the platform is delineated under clear ownership principles:

  • Platform Property: The DOUXLE | Digital Systems & Software Licenses name, logos, website layout, interfaces, proprietary software, DRM systems, and code are the exclusive property of the platform operator.
  • Developer Property: All software, documentation, release assets, and trademarks published by independent developers remain the intellectual property of those respective developers or their licensors.
  • Customer Rights: Acquisition of a digital product grants the customer a non-exclusive, non-transferable, revocable license to use the software in accordance with specified product terms and seat limits. No transfer of underlying copyright occurs.

All third-party trademarks and brand names belong to their respective owners.

14. Service Availability & Maintenance

We endeavor to provide resilient and reliable service across our marketplace, licensing servers, and developer services:

  • "As Is" Provision: Platform services are delivered on an "as is" and "as available" basis without guarantees of 100% uninterrupted, error-free operation.
  • Scheduled Maintenance: Periodic maintenance, security updates, and infrastructure upgrades may necessitate temporary service windows.
  • Third-Party Outages: We are not liable for outages caused by external internet providers, cloud hosting facilities, payment gateway delays, or blockchain network congestion.
  • Enterprise SLA: Specific availability commitments apply only where explicitly agreed upon under custom enterprise service agreements.

Notice of planned maintenance will be provided when reasonably practicable.

15. Suspension & Account Termination

DOUXLE | Digital Systems & Software Licenses reserves the right to suspend, restrict, or terminate user, developer, or enterprise accounts under appropriate circumstances:

  • Terms Violation: Material or persistent breach of these Terms of Service, Acceptable Use policies, or developer distribution rules.
  • Fraud & Financial Risk: Suspected fraudulent payments, unauthorized chargebacks, or unresolvable billing disputes.
  • DRM Circumvention: Verified attempts to crack licenses, bypass activation controls, or distribute unauthorized product copies.
  • Malicious Conduct: Uploading harmful code or engaging in abusive platform activity.

Account termination results in the immediate revocation of active software licenses, forfeiture of unapproved promotional balances, and termination of download privileges.

16. Amendments to Terms of Service

We reserve the right to modify, amend, or replace these Terms of Service periodically to reflect changes in legal requirements, platform features, security standards, or commercial practices:

  • Publication: Updated Terms will be published directly on this page with a revised effective date and version notation.
  • Notice: Material modifications will be highlighted through dashboard announcements, email advisories, or prominent platform notices.
  • Binding Acceptance: Continued access to or use of the platform following published amendments constitutes binding agreement to the updated Terms.

Users are encouraged to review these Terms regularly to stay informed regarding their contractual rights and responsibilities.

17. Governing Law & Dispute Resolution

These Terms of Service and any dispute, controversy, or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the operating jurisdiction of DOUXLE | Digital Systems & Software Licenses, without giving effect to conflict of laws principles.

  • Informal Dispute Resolution: Prior to initiating formal proceedings, parties agree to seek amicable resolution in good faith by contacting our compliance desk.
  • Legal Inquiries: Formal legal notices and inquiries regarding these Terms may be directed to our compliance team at [email protected].
  • Severability: If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be severed to the minimum extent necessary without affecting the validity of remaining provisions.

These Terms constitute the entire agreement between the user and DOUXLE | Digital Systems & Software Licenses regarding platform usage.
